Terms of Use

1. Agreement

These Terms of Use govern your use of closer-r.org (the "Service"), which is operated by Closer Robotics K.K. ("the Company," "we," "us," or "our") (Tenjin Business Center 8F, 1-16-1 Tenjin, Chuo-ku, Fukuoka 810-0001, Japan). By using the Service you accept these Terms. Nothing in these Terms limits your statutory rights under the laws of your country of residence.

The Service is an informational website for Closer Robotics K.K., an angel-backed hardware robotics company based in Fukuoka that develops proximity-aware service robots for retail and logistics facilities. The Service allows operators and prospective partners to learn about our products and safety approach, read field notes, and submit pilot program inquiries. These Terms apply to all such uses.

2. Use of the Service

• You must be of legal age in your jurisdiction or have parental consent to use the Service.
• You agree not to use the Service unlawfully, to interfere with its operation, or to attempt unauthorized access to any part of the Service or its underlying systems.
• You may not scrape, reverse-engineer, or reproduce material from the Service except as permitted by mandatory law or with our prior written consent.
• You may not submit false or misleading information through our pilot inquiry or contact forms.

3. Intellectual Property

The Service and all content on it -- including product descriptions, technical documentation, safety information, diagrams, field notes, and branding -- is owned by the Company or its licensors and is protected by Japanese and international intellectual property law. We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for its intended purpose of learning about our products and submitting inquiries. No other right is granted.

4. Pilot Program Inquiries and User Content

You are responsible for the accuracy of any content you submit through pilot inquiry or contact forms. By submitting information, you grant the Company a limited licence to use, store, and process that content for the purpose of evaluating and responding to your inquiry. We handle submitted information in accordance with our Privacy Policy.

Acceptance of a pilot program inquiry does not constitute a binding commercial agreement. Pilot deployment terms, pricing, technical requirements, and scope are agreed separately through direct correspondence and a written pilot agreement between your organisation and Closer Robotics K.K.

5. Disclaimers

The Service is provided on an "as is" and "as available" basis. We disclaim all warranties to the maximum extent permitted by applicable law, including warranties of accuracy, completeness, or fitness for a particular purpose. Product specifications, pilot program availability, and safety standards information on the Service reflect the Company's current development stage and may change. Mandatory consumer warranties applicable in your country of residence are not affected.

6. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability for any claim arising from or related to the Service will not exceed JPY 10,000, except for liability that cannot be limited under mandatory law. The Company is not liable for any indirect, incidental, or consequential loss arising from your use of the Service.

7. Indemnification

You agree to indemnify and hold harmless Closer Robotics K.K. from any claims, damages, costs, or expenses arising from your use of the Service, your breach of these Terms, or your violation of any third-party right.

8. Termination

We may suspend or terminate access to the Service for breach of these Terms without notice. Sections 3, 5, 6, 7, and 9 survive termination.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan.

Disputes arising under or in connection with these Terms are subject to the non-exclusive jurisdiction of the competent courts in Fukuoka, Japan, without prejudice to the mandatory consumer-protection rights of your country of residence.

10. Changes and Contact

We may update these Terms from time to time. Material changes will be posted on this page with a new "Last updated" date. Continued use of the Service after a change constitutes acceptance of the revised Terms.
